Congo-Brazzaville — NDA / confidentiality agreement

General guidance, not legal advice. Confirm items marked “verify locally” with local counsel or the relevant registry.

Last reviewed: 2024-06-01 · v1 · cemac

Steps

  1. Identify the disclosing and receiving parties and define the confidential information in scope.
  2. Set the duration of confidentiality and any post-termination survival period.
  3. Add a governing-law and dispute-resolution clause consistent with the legal family of the jurisdiction.
  4. Have both parties (or authorised signatories for entities) sign; witnessing is good practice even where not mandatory.

Notarisation

Verify locally

Private NDAs are generally enforceable as simple private contracts without notarisation.

Stamp duty / registration

Verify locally

Some jurisdictions apply stamp duty to written agreements above a value threshold or when produced in court; NDAs with no monetary value are commonly exempt.

Filing authority

Verify locally

No filing with a public authority is normally required for a private NDA.

Typical timeline

Verify locally

Typically same-day to a few days for negotiation and signature; no registration timeline applies.
