Steps
- Identify the disclosing and receiving parties and define the confidential information in scope.
- Set the duration of confidentiality and any post-termination survival period.
- Add a governing-law and dispute-resolution clause consistent with the legal family of the jurisdiction.
- Have both parties (or authorised signatories for entities) sign; witnessing is good practice even where not mandatory.
Notarisation
